12. Confidentiality. Neither Party anticipates disclosing confidential or proprietary information to the other Party under this Agreement. Notwithstanding the foregoing, the Client acknowledges that: (a) the Innovate Carolina Junction’s facilities are intended to facilitate communication and collaboration among licensees and other parties using the Innovate Carolina Junction; (b) the Client’s employees, agents, or invited guests may inadvertently observe, access, or receive confidential information of another licensee or user of the Innovate Carolina Junction; (c) University shall have no responsibility to resolve or mediate any dispute arising between the Client and any other party (including other licensees or users) with respect to the use, receipt, or disclosure of any party’s confidential information; and (d) University shall not be liable for, and is hereby released from, any claim, loss, or damage of any nature arising from any such dispute.
13. Disclosure. University reserves the right at all times to disclose any information about the Client and the Client’s participation with and use of the Innovate Carolina Junction as University deems necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or to remove any information or materials, in whole or in part, in University’s sole discretion.
